These Terms of Service ("Terms") constitute a legally binding agreement between you and SkillCloud, Inc. ("SkillCloud," "we," "us," or "our") regarding your access to and use of our employment platform, including our website, mobile applications, and related services (collectively, the "Platform").

Our Platform connects job seekers with employers and provides related employment services. These Terms apply to all users, including job seekers, employers, and visitors to our Platform.

Important Notice

If you do not agree with any part of these Terms, you must not use our Platform. Your continued use of the Platform constitutes acceptance of any updates to these Terms.

Eligibility and Account Registration

All Users

Employers

  • • Agree to fair and lawful hiring practices

Account Responsibilities

Account Security

  • • Maintain the confidentiality of your login credentials
  • • Use strong, unique passwords and enable two-factor authentication
  • • Notify us immediately of any unauthorized access or security breaches
  • • You are responsible for all activities that occur under your account
  • • Do not share your account or allow others to use your credentials

User Conduct and Responsibilities

Job Seeker Obligations

Profile Accuracy

  • • Provide truthful and accurate information in your profile
  • • Keep your resume and qualifications current and factual
  • • Do not misrepresent your skills, experience, or education
  • • Own all rights to content you upload (resume, portfolio, etc.)

Application Conduct

  • • Apply only to positions you are genuinely interested in
  • • Respond professionally to employer communications
  • • Respect employers' application processes and deadlines
  • • Do not spam employers with irrelevant applications

Professional Standards

  • • Maintain confidentiality of proprietary employer information
  • • Honor any employment agreements you enter into
  • • Treat all platform users with respect and professionalism
  • • Report any inappropriate behavior or content

Employer Obligations

Job Posting Standards

  • • Post only legitimate, available job opportunities
  • • Provide accurate job descriptions and requirements
  • • Include clear compensation and benefits information
  • • Comply with all employment and anti-discrimination laws

Candidate Treatment

  • • Treat all candidates fairly and with respect
  • • Provide timely feedback on applications when possible
  • • Use candidate information only for recruitment purposes
  • • Respect candidate privacy and data protection rights

Legal Compliance

  • • Follow all applicable employment laws and regulations
  • • Do not discriminate based on protected characteristics
  • • Honor employment offers and agreements made
  • • Pay all applicable fees and charges on time

Prohibited Activities

Platform Misuse

  • • Creating fake profiles or providing false information
  • • Using automated tools, bots, or scrapers
  • • Attempting to hack or compromise platform security
  • • Posting spam, malicious content, or inappropriate material
  • • Collecting user data for unauthorized purposes

Commercial Violations

  • • Posting fraudulent job listings or pyramid schemes
  • • Charging candidates fees for applications or interviews
  • • Using the platform to compete with SkillCloud services
  • • Violating intellectual property or copyright laws
  • • Circumventing payment systems or fees

Consequences of Violations

Violations of these Terms may result in immediate account suspension or termination, removal of content, legal action, and reporting to relevant authorities.

Platform Services and Availability

Service Description

SkillCloud provides an online platform that connects job seekers with employers. Our services include job posting and searching capabilities, candidate profiles, application management, communication tools, and related employment services.

Important: SkillCloud acts as a platform facilitator. We do not guarantee job placements, employment outcomes, or the accuracy of job postings and user profiles. Users are responsible for their own employment decisions and interactions.

Service Availability

  • • Services provided "as is" with occasional maintenance
  • • No guarantee of 100% uptime or uninterrupted access
  • • Scheduled maintenance communicated in advance
  • • Emergency maintenance may occur without notice
  • • Service levels may vary based on subscription tier

Service Modifications

  • • We may modify, suspend, or discontinue services
  • • New features may be added or existing ones removed
  • • Pricing and subscription terms may change
  • • Users will be notified of significant changes
  • • Continued use constitutes acceptance of changes

Payment Terms and Billing

Subscription Services

  • • Job seekers: Basic services are free; premium features require subscription
  • • Employers: Various pricing tiers based on job posting volume and features
  • • Subscriptions automatically renew unless cancelled
  • • Billing occurs in advance for the subscription period
  • • All fees are non-refundable except as required by law

Payment Processing

  • • Payments processed through secure third-party providers
  • • Valid payment method required for paid services
  • • Automatic billing on subscription renewal dates
  • • Failed payments may result in service suspension
  • • Taxes and fees may apply based on your location

Cancellation Policy

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods, but you retain access to paid features until the end of your billing cycle.

Intellectual Property Rights

SkillCloud Property

The Platform, including its design, functionality, content, trademarks, logos, and software, is owned by SkillCloud and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

User Content

You retain ownership of content you submit to the Platform (resumes, profiles, job postings, etc.). However, by submitting content, you grant SkillCloud a worldwide, non-exclusive, royalty-free license to:

  • • Use, display, and distribute your content on the Platform
  • • Modify content for formatting and technical compatibility
  • • Create derivative works for platform functionality
  • • Sublicense content to other users as part of our services

Copyright Infringement

We respect intellectual property rights and respond to valid copyright infringement notices. If you believe your copyrighted work has been infringed, please contact our legal team at legal@skillcloud.com with detailed information about the alleged infringement.

Limitation of Liability and Disclaimers

Important Legal Notice

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLCLOUD PROVIDES THE PLATFORM "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Service Limitations

  • • No guarantee of job placements or employment outcomes
  • • No verification of employer legitimacy or job posting accuracy
  • • No control over user interactions or employment decisions
  • • No responsibility for third-party content or services
  • • Platform availability subject to technical limitations

Liability Limits

  • • Total liability limited to fees paid in the last 12 months
  • • No liability for indirect, incidental, or consequential damages
  • • No liability for lost profits, data, or business opportunities
  • • Users assume responsibility for employment decisions
  • • Some jurisdictions may not allow these limitations

User Responsibility

You acknowledge that employment decisions, including hiring, job applications, and workplace interactions, are made independently by users. SkillCloud is not a party to any employment relationships and is not responsible for disputes, discrimination, or other issues that may arise between users.

Account Termination

Termination by You

  • • You may terminate your account at any time
  • • Use account settings or contact customer support
  • • Cancellation takes effect at end of billing period
  • • Some data may be retained for legal compliance
  • • No refunds for unused subscription periods

Termination by SkillCloud

  • • We may terminate accounts for Terms violations
  • • Immediate termination for serious violations
  • • Notice provided when possible and appropriate
  • • Right to remove content and restrict access
  • • Survival of certain provisions after termination

Effect of Termination

Upon termination, your right to use the Platform ceases immediately. We may delete your account and associated data, though some information may be retained for legal, regulatory, or legitimate business purposes. Provisions regarding intellectual property, liability limitations, and dispute resolution survive termination.

Governing Law and Dispute Resolution

Applicable Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts in New York County, New York.
